Cranbury-based Innophos to be acquired for $932M

A year ago, in an interview with ROI-NJ, Innophos Chair and CEO Kim Ann Mink said she felt Innophos could become a billion-dollar company. Monday, she nearly got her wish.

Cranbury-based Innophos — a global company that partners with clients to create essential ingredients and science-backed solutions for the food, health, nutrition and industrial markets — announced Monday morning that it is being acquired by One Rock Capital Partners for $32 a share in cash in a transaction valued at approximately $932 million.

The offer price represents an 18% premium to the 30-trading day volume-weighted average closing share price of Innophos’ common stock ended Sept. 9, the last trading day prior to published market speculation regarding a potential transaction involving the company.

Innophos was valued at $722 million when Mink made her statement.

“After careful consideration and a thorough review of our strategic alternatives, including an outreach program to multiple potential financial and strategic partners over several months, the board determined that a sale to One Rock is in the best interest of all of our stakeholders,” Mink said in a statement.

“We remain confident that our transformational strategy is the right path forward for Innophos; however, executing on this strategy in an increasingly volatile macroeconomic and complex financial environment as a small-cap public company remains challenging and could take longer than initially expected. While we believe our long-term goals are achievable, we believe that the offer from One Rock is in the best interest of our stockholders, as it will deliver immediate and certain value. We believe this transaction represents a winning proposition for all of our stakeholders, including our employees and customers.”

The statement did not detail how or if Mink would continue with the company. She currently is one of just a handful of female CEOs for companies based in New Jersey.

According to Innophos and One Rock, the transaction will be financed through a combination of committed equity financing provided by affiliates of One Rock, as well as committed debt financing from several financial institutions.

The closing of the transaction is expected to occur in the first quarter of 2020, subject to stockholder and regulatory approvals and the satisfaction of customary closing conditions. Upon the completion of the transaction, Innophos will become a privately held company and shares of Innophos’ common stock will no longer be listed on any public market.

Mink joined Innophos in 2015 as CEO and president. Last year, she told ROI-NJ it was an opportunity too good to pass up.

“I saw an opportunity to implement structures and processes to strengthen the company’s foundation while focusing on operational and commercial excellence, safety, talent management, and to really pivot the company’s strategy to expand its focus beyond its historical roots in phosphates and capitalize on emerging opportunities,” she said.

The company has manufacturing operations across the U.S., Canada, Mexico and China, as well as a manufacturing plant and additional administrative site in East Hanover.

Mink said she intended for Innophos to become a $1.25 billion company by 2022.

“We are bringing our customers solutions to address their demands and, of course, capitalizing on industry trends,” she said then.

One Rock Managing Partner Tony Lee said Monday the company has a bright future.

“Innophos’ innovative ingredient solutions are used by world-leading brands across a wide range of attractive food, health, nutrition and industrial markets,” he said in a statement. “The company has a strong foundation and a transformative growth strategy.

“In drawing upon One Rock’s extensive experience, part of our goal is to maximize Innophos’ growth potential by continuing to expand its presence in high-growth food, health and nutrition markets, while further strengthening and optimizing its cash-generative core business. We look forward to working with Innophos to accomplish these goals and position the company for continued success.”

CRANBURY – Transportation services provider Penske Truck Leasing recently opened a brand-new, state-of-the-art facility in the township.

It is the first ground-up build in the firm's South Plainfield district. The last new builds in the New York metro area for Penske happened in tandem in 2006 with the openings of its Parsippany and Bridgeport locations.

Located at 2682 Route 130 North, the facility offers consumer and commercial truck rental, full-service truck leasing and contract truck fleet maintenance.

It is also outfitted with the company's proprietary fully digital and voice-directed preventive maintenance process and Penske digital experience solutions, which help customers leverage Penske technology as well as options related to onboard technology systems.

These include telematics, onboard cameras and ELDs, or electronic logging devices, that are used within commercial trucking to provide an accurate and simple means of keeping hours of service records that drivers and fleet operators are required by law to maintain.

“We’ve outgrown the South Brunswick facility by 10-fold in the past 30-years,” said Mike Duquette, New York Metro area vice president for Penske Truck Leasing, in a news release. “When we first opened, the location serviced nearly 200 vehicles out of two truck bays — now, three decades later, we service over 2,000 vehicles out of three truck bays; this new state-of-the-art facility was eminent. The expansion of business occurred due to significant market growth in the region and the unparalleled service provided by Penske technicians and the district team to retain and grow the business.”

Situated on 9.62 acres, the location is 22,995 square feet. It features five drive-thru bays with 10 service areas. There are also an additional 10 covered service areas hugging the facility, as well as an automated wash bay, and a full-service three lane fuel island.

Penske currently employs more than 40 associates at the new facility and is hiring truck technicians, fueler and wash bay attendants, customer service representatives and drivers locally and nationwide. CRANBURY -- First there was Black Friday, a holiday devoted to shopping — or avoiding it. Then came Cyber Monday, the online equivalent.

But what’s Restock Tuesday?

Call it a holiday for the retail underworld, known as liquidation. It’s an emerging industry, built on what won’t sell in stores or on major Web sites, and it does its best business now through January. The worse retailers do, the better liquidators fair as they take on the excess and sell it in online auctions.

Among the industry’s major distribution centers is a plain, square building in southern Middlesex County that’s situated among a sea of warehouses. The building, located in Cranbury Township, is one of six used by Liquidation Services Inc. to receive and ship its ever-changing stock.

Today, on Restock Tuesday, it was abuzz as workers zipped shrink-wrapped pallets of merchandise through the building in a merry-go-round of forklifts. All sorts of goods — from linens to bath tubs — came in, were sorted, tested and sold in online auctions.

Those who were picking up their lots today had a range of reasons for buying. Some were just consumers, searching for the best bargains. Others were reselling the products online. Lonnie Hailey, who drove up from Bear, Del., to claim a box of Guitar Hero games and equipment, had both purposes in mind.

“I’m investigating to see if this is viable to start a business,” said Hailey, who lost his job in computers. He’ll let his children use the games as he explores the idea.

Despite catching the attention of major retailers, that sort of liquidation is still a new idea. "There's not a lot of people that do exactly what we do," said Rob Caskey, a company vice president. "It's called the reverse supply chain."

Howard Davidowitz, a national expert on the retail industry, has another term for it: bad business. He doesn’t mean the liquidators are doing bad business, but the retailers who keep paper thin stocks — refusing to risk not selling all their merchandise.

“Who can blame them? Last year they got destroyed,” said the analyst, who is chairman of Davidowtiz and Associates Inc, a Manhattan-based retail consulting and investment banking firm.

This year, things aren’t much better, he said. Online and in-store sales have been horrible, and the weekend didn’t help much. Online went up 7 to 8 percent, but that’s only a small piece of the retail pie.

“In terms of brick and mortar, which is 96 percent of the business, it was not exciting,” he said. “Sales were down.”

That spells good news for the liquidators, which suddenly find themselves getting a rush of overstock products. But it won’t boost the retail bottom line; liquidation is equivalent to 1/100th of a percent of retail sales, Davidowitz said.

“That doesn’t mean that the people doing it are not doing gang-buster business,” he said. “I believe they are.”

That much is clear at the Cranbury company, which does most of its sales through the Web site www.liquidation.com. The overstock means about 20 truck-loads per day — twice the typical traffic.

“We’ll get that influx right into January,” said warehouse manager Jim Dalm, who was hired more than four years ago to setup the operation .

In the next six months, he anticipates renting more space to expand the warehouse by three-times the current size. “This company is growing phenomenally.”
